Moralne (tudi osebne) pravice v vseh primerih pripadajo osebi, ki je ustvarila intelektualno lastnino; teh pravic ni mogoče prenašati s pogodbo ali drugače določiti, da pripada komu drugemu kot tistemu, ki jo je ustvaril.rnrnMaterialne (tudi premoženjske) pravice lahko pripadajo osebi, ki sama intelektualne lastnine ni ustvarila, a so bile nanjo prenesene na podlagi zakona ali pogodbe. Na primer pravice na službenih izumih, ustvarjenih na Univerzi v Ljubljani, po zakonu pripadajo Univerzi kot delodajalcu, lahko pa tudi drugi osebi, če je materialne pravice pridobila na podlagi pogodbe o prenosu pravic.

Izraz odcepljeno oz. spin-out podjetje uporabljamo za podjetje, ki ga ustanovi eden ali več zaposlenih na Univerzi v Ljubljani.

Namen odcepljenega podjetja je nadaljnji razvoj in trženje znanja, nastalega v okviru zaposlitve na Univerzi v Ljubljani, in prenos na novo podjetje bodisi s podelitvijo licence ali prodajo pravic intelektualne lastnine.

Acies Bio

Podjetje Acies Bio je primer dobre prakse na področju biotehnologije, ki je bilo ustanovljeno leta 2006 kot start-up. Razvija nove mikrobne seve, bioprocese in bioaktivne učinkovine, ki izboljšujejo življenje ljudi ter omogočajo trajnostne rešitve za farmacevtsko, živilsko in kemijsko industrijo. Poslovni model temelji na dveh stebrih, pri čemer je prvi vezan na pogodbene raziskave za industrijo, drugi steber pa so interne raziskave. Podjetje je pozicionirano kot raziskovalno podjetje, ki želi razvijati rešitve za biotehnološko proizvodnjo različnih molekul z visoko dodano vrednostjo, pri tem pa iščejo partnerje, ki te produkte tržijo. V letu 2018 so tako pridobili novega partnerja, kitajsko podjetje Desano, ki se ukvarja s proizvodnjo na področju biotehnologije. Nekoč start-up podjetje danes zaposluje 37 ljudi, skupaj z zunanjimi sodelavci pa jih je med 50 in 60.
